DENTSU INTRODUCES NEW EXECUTIVE OFFICER SYSTEM

Dentsu Inc. of Tokyo has decided the make-up of its new board of directors. The make-up was announced at its general meeting of shareholders earlier this week. According to the company, for some time it has been preparing to make changes to the structure of its board and management. The reason for this was to ensure the company could respond to issues likely to arise in the future. At this point, the company introduced an "Executive Officer system". The two functions of "management decision-making and control" and "execution of the business", previously both handled by the board, will now be spilt in two. The board of directors will continue to handled the management decision making and control and the execution of the business will now be handled by the executive officers. Following the shareholder meeting, both the executive officer system and the executive officers were formally approved. Senior corporate auditors and corporate auditors, which have a term of three years, were not affected by the recently announced changes.
